<br />Attachment D <br />Standard Provisions and Assurances <br /> <br />29.1. CONTRACTOR shall give all notices and comply with all Laws and Regulations <br />applicable to furnishing and performance,of the work. Except where otherwise <br />expressly required by applicable Laws and Regulations, A TCOG shall not be <br />responsible for monitoring Agreement's compliance with any Laws or <br />Regulations. <br /> <br />30.0. SUBGRANT ACTIVITIES AS SET FORTH IN THIS SECTION <br /> <br />30.1. If CONTRACTOR performs any work knowing or having reason to know that it <br />is contrary to Laws or Regulations, CONTRACTOR shall bear all claims, costs <br />losses and damages caused by, arising out of or resulting therefrom. <br /> <br />31.0. UNIFORM GRANT AND CONTRACT MANAGEMENT ACT <br /> <br />31.1. The provisions of Uniform Grant and Contract Management Act, TEXAS <br />GOVERNMENT CODE, Chapter 783 applies to this Agreement, all amendments <br />thereto, and all subcontracts and subagreements. Compliance with the <br />conditions and requirements contained therein is necessary for the satisfactory <br />performance of the services and work required under this Agreement. <br /> <br />32.0. RECORDS, DOCUMENTS, DATA, ACCESS, AND AUDIT <br /> <br />32.1. The CONTRACTOR shall maintain books, records, documents, and other <br />evidence reasonably pertinent to performance of the work and requirements of <br />the Agreement, including the Agreement or amendments thereto. All financial <br />records shall be maintained in accordance with generally accepted accounting <br />principles, the Uniform Grant Management Standards and this Agreement. The <br />CONTRACTOR shall also maintain the financial information and data used in the <br />preparation or support of any request for reimbursement (direct and indirect), <br />price or profit analysis for this Agreement or any subagreement or subcontract <br />and a copy of any cost information or analysis submitted to the A TCOG. The <br />A TCOG, Texas State Auditor's Office, or any of their authorized representatives <br />shall have access to all such books, records, documents and other evidence for <br />the purpose of review, inspection audit, excerpts, transcriptions and or copying <br />during normal business hours. The CONTRACTOR shall provide proper facilities <br />for such access and inspection. <br /> <br />32.2. The CONTRACTOR agrees that all record keeping and access requirements <br />shall be included in and applicable to all subcontracts and subagreements. <br /> <br />32.3. The CONTRACTOR agrees to the disclosure of all information and reports <br />resulting from access to records under this Agreement. <br /> <br />52 <br />
