receipt of final payment, whichever is later, as required by 2 CFR Part 25. <br />The grantee will comply with Executive Orders 12549 and 12689 that requires "a contract award (see <br />2 CFR 180.220) must not be made to parties listed on the government -wide exclusions in the System <br />for Award Management (SAM)", in accordance with the OMB guidelines at 2 CFR 180 that implement <br />Executive Orders 12549 (3 CFR part 1986 Comp., p. 189) and 12689 (3 CFR part 1989 Comp., p. 235), <br />"Debarment and Suspension." SAM Exclusions contains the names of parties debarred, suspended, or <br />otherwise excluded by agencies, as well as parties declared ineligible under statutory or regulatory <br />authority. The grantee certifies it will verify each vendor's status to ensure the vendor is not debarred, <br />suspended, otherwise excluded or declared ineligible by checking the SAM before doing/renewing <br />business with thatvendor. <br />C. The grantee certifies that it and its principals are eligible to participate in this Grant Agreement and <br />have not been subjected to suspension, debarment, or similar ineligibility determined by any federal, <br />state or local governmental entity and the grantee is in compliance with the State of Texas statutes <br />and rules relating to procurement and that the grantee is not listed in the federal government's <br />terrorism watch list as described in Executive Order 13224. <br />L 9 Afo Obl Barg runs by ?? Yerail e!wW:°rnmenl <br />The Parties acknowledge and agree that the federal government is not a party to this Grant Agreement <br />and is not subject to any obligations or liabilities to either Party, third party or subcontractor pertaining to <br />any matter resulting from this Grant Agreement. <br />Notice may be given to the grantee via GMS, email, hand -delivery, or United States Mail. Notices to the <br />grantee will be sent to the name and address supplied by grantee in GMS. <br />1.2.E Force Mrijeure <br />Neither the grantee norTDEM shall be required to perform any obligation under this Grant Agreement or be <br />liable or responsible for any loss or damage resulting from its failure to perform so long as performance is <br />delayed by force majeure or acts of God, including but not limited to strikes, lockouts or labor shortages, <br />embargo, riot, war, revolution, terrorism, rebellion, insurrection, pandemic, flood, natural disaster, or <br />interruption of utilities from external causes. Each Party must inform the other in writing, with proof of <br />receipt, within three (3) business days of the existence of such force majeure, or otherwise waive this right <br />as a defense. <br />22 Debt to State <br />The grantee certifies, to the extent grantee owes any debt (child support or other obligation) or delinquent <br />taxes to the State of Texas, any payments grantee is owed under this Grant Agreement may be applied by <br />the Comptroller of Public Accounts toward any such debt or delinquent taxes until such debt or delinquent <br />taxes are paid in full. <br />1.2.E Franchise is 7"rix CerQflcation <br />If grantee is a taxable entity subject to the Texas Franchise Tax (Chapter 171, Texas Tax Code), then grantee <br />certifies that it is not currently delinquent in the payment of any franchise (margin) taxes or that grantee is <br />exempt from the payment of franchise (margin) taxes. <br />
