10.23 Public Information <br />A. Pursuant to Section 2252.907, Texas Government Code, Successful Respondent is required to <br />make any information created or exchanged with the State pursuant to the Contract, and not <br />otherwise excepted from disclosure under the Texas Public Information Act, available in a format <br />that is accessible by the public at no additional charge to the State. <br />B. Each State government entity should supplement the provision set forth in Section A, above, with <br />the additional terms agreed upon by the parties regarding the specific format by which Successful <br />Respondent is required to make the information accessible by the public. <br />C. Successful Respondent represents and warrants that it will comply with the requirements of <br />Section 552.372(a), Texas Government Code, where applicable. Except as provided by Section <br />552.374(c), Texas Government Code, the requirements of Subsection J, Chapter 552, Texas <br />Government Code, may apply to the Contract or certain Purchase Orders, and Successful <br />Respondent agrees that the Contract or such Purchase Orders can be terminated if Successful <br />Respondent knowingly or intentionally fails to comply with a requirement of that subchapter. <br />10.24 Successful Respondent Reporting Requirements <br />Successful Respondent shall comply with Subtitle C, Title 5, Business & Commerce Code, Chapter 109, <br />requiring computer technicians to report images of child pornography. <br />10.25 Cy ersecurity Training <br />In accordance with Section 2054.5192, Texas Government Code, for any contract with a state agency or <br />institution of higher education, if Successful Respondent, or a subcontractor, officer, or employee of <br />Successful Respondent, will have access to a state computer system or database, then Successful <br />Respondent shall ensure that such officer, employee, or subcontractor shall complete a cybersecurity <br />training program certified under Section 2054.519, Texas Government Code, as selected by Customer <br />state agency or institution of higher education. The cybersecurity training program must be completed by <br />such officer, employee, or subcontractor during the term of the Contract and during any renewal period. <br />Successful Respondent shall verify to the Customer state agency or institution of higher education <br />completion of the program by each such officer, employee, or subcontractor. <br />A. Successful Respondent and DIR agree to the following: (i) a party's failure to require strict <br />performance of any provision of the Contract shall not waive or diminish that party's right <br />thereafter to demand strict compliance with that or any other provision, (ii) for disputes not <br />resolved in the normal course of business, the dispute resolution process provided for in Chapter <br />2260, Texas Government Code, shall be used, (iii) except as provided in Sec. 2251.051 Texas <br />Government Code, Successful Respondent shall continue performance while the dispute is being <br />resolved, and (iv) actions or proceedings arising from the Contract shall be heard in a state court <br />of competent jurisdiction in Travis County, Texas. <br />B. Disputes arising between a Customer and Successful Respondent shall be resolved in accordance <br />with the dispute resolution process of the Customer that is not inconsistent with the above. DIR <br />shall not be a party to any such dispute unless DIR, Customer, and Successful Respondent agree <br />in writing. <br />Appendix A Standard Contract Terms and Conditions Page 33 <br /><Rev December 2021> <br />
