THE STATE OF TEXAS Agreement for Special Assessment Collector Services <br />CITY OF PARIS <br />This Agreement for Special Assessment Collector Services ("Agreement") is made by and <br />between the City of Paris ("City") and TXGovSolutions LLC ("TXGovSolutions" or <br />"Consultant") (each a "Party" and collectively the "Parties"), acting by and through their <br />authorized representatives. <br />Recitals: <br />WHEREAS, City desires to engage the services of TXGovSolutions as an <br />independent contractor and not as an employee in accordance with the terins and conditions <br />set forth in this Agreement; and <br />WHEREAS, TXGovSolutions desires to provide for City the services necessary to <br />collect from owners of assessed property the special assessments levied against property <br />located within City (the Public Improvement Districts "PID") and disburse said collections <br />to the proper designees, as more fully described in Article II, and in accordance with the <br />terms and conditions set forth in this Agreement. <br />NOW THEREFORE, in exchange for the mutual covenants set forth herein and <br />other valuable consideration, the sufficiency and receipt of which is hereby acknowledged, <br />the Parties agree as follows: <br />Article I <br />Term <br />The initial term of this Agreement shall commence on the last day of execution hereof ("Effective <br />Date") and shall continue through September 30, 2026, unless written notice of termination is <br />provided by the terminating Party prior to thirty (30) days of the expiration date of the then current <br />term of the Agreement. City understands and agrees that, unless terminated, this Agreement will <br />automatically renew annually following the initial term. TXGovSolutions may increase amounts <br />charged to City for any renewal term, provided TXGovSolutions gives written notice to City sixty <br />(60) days prior to the expiration date of the current term of this Agreement. <br />TXGovSolutions understands and agrees that time is of the essence. All deliverables are to be <br />completed and delivered to City by the termination date, or by the milestone or completion date or <br />dates provided in a performance schedule agreed upon between TXGovSolutions and City, unless <br />an extension of time, based upon good reasons presented by TXGovSolutions, is approved by City. <br />Special Assessment Collector Services Agreement I1 <br />
