<br />WHEREAS, the State and the City desire the improvements to the Paris Santa Fe-Frisco <br /> <br />Railroad Depot, as shown in the attached "Exhibit A," to be hereinafter identified as the "Project;" <br /> <br />and, <br /> <br />WHEREAS, Title 23 V.S.C. Section 120 (b) establishes that the federal share of funding <br /> <br /> <br />for transportation enhancement activities shall not exceed eighty percent (80 %) of the total cost <br /> <br /> <br />of the project; and, <br /> <br />WHEREAS, the City offered to participate in the development and construction of the <br /> <br /> <br />Project by providing the non-federal funding share of the project, acquiring the necessary right-of- <br /> <br /> <br />way, accomplishing utility adjustments, procuring the consultant services, preparing the design <br /> <br /> <br />documentation, letting the construction contract, providing the construction inspection, and other <br /> <br />necessary items required by the State; and, <br /> <br />WHEREAS, on the 29th day of April, 1996, the City Council of the City of Paris passed <br /> <br /> <br />Resolution No. 96-037, attached hereto and identified as "Exhibit B," authorizing the City's <br /> <br /> <br />participation in the development of the project; and, <br /> <br /> <br />WHEREAS, the State will secure the federal cost share; and, <br /> <br />WHEREAS, on the 28th day of August, 1996, the Commission passed Minute Order <br /> <br /> <br />106939, attached hereto and identified as "Exhibit C," authorizing the State I s participation in the <br /> <br />Project; NOW, THEREFORE, <br /> <br />AGREEMENT <br /> <br />In consideration of the premises and of the mutual covenants and agreements of the parties <br /> <br />hereto, to be by them respectively kept and performed as hereinafter set forth, it is agreed as <br /> <br />follows: <br /> <br />2 <br />
