l"ERN,S AND CONDfTIONS PROFESSIONAL MANAGEMENT, ENGINcERING AND/OR ARCHITECTURAL SERVICcS Termination of Contract 1or Cause. tl, through any cause, the Firm shall fail to fulfill in a timely and proper manner his/her obligations under this Contract, or it the Firm shall violale any of the covenants, agreements, or stipulations of this Contract, the City/County shall thereupon have the right to terminate this Contract by oiving written notice to the Firm of such termination and specifying the effective date thereol, al lezst five days before the efieci4ve date of such termination. In such event, all 5nished or un5nished documents, data, studies, _ surveys, drawings, maps, models, photographs and reaorLS prepa(ed by the Firm under this Contract shalt, at the option o( the Cfty/County, become its property and the Firm shall be entitied to receive just and equitable compensation tor any work satisfactorily completed hereunder. . , Nohvithstanding the above, the Firm shall no; be relieved of Iiability to 'the City/County for damages sustained by the City/County by virtue of any breach o( the Contract by the Firm, and the City/County may withhold any pzymen;s to the rirm tor the purpose of set-oY until sucn time as the ezad amount of damzges due tne Ciry/County from the Firm is determined. 2. Termination for Convenience of the CiN/Countv. Tne City/County may terminate this Contract at any time by giving at least ten (10) days notice in writing to the Firm. If the Contract is terminated by the City/County 2s provided herein, the rirm will be paid for the time provided and expenses incurred up to the termination date. ff this Contract is terminated due to the fautt, of the Frm, Paragraph 1 hereof relative to termination shail apply. 3. Chanaes. The-City/County may, from time to time, request changes in ihe scope of the services of the Firm to be performed hereunder. Such chanoes, including any increese of decrease in the amount of the Firm's compensation, which are mutually agreed upon by and betwaen the City/County and the Firm, shall be incorporztad in written amendments to tnis Contract. 4. Personnel. z. Tne rirm represents that he/she hzs, or wiil secure at his own expense, aIl pzrsonnel required in peAorming the services under this Con;ract. Such personnel shall not b2 empioyees of or have any contractuai relationship with the City/County.: ~ b.
