Assiqnabi(itv. The Firtn shall not asslgn any interest on this Contract, and shall not transfer <br />any interest in the same (whether by assignment or novation), without the prior wrfiten <br />consent of the City/County thereto: Provided, however, that claims tor money by the Firtn <br />from the City/County under this Contrad may be assigned to a bank, trust company, or other <br />financial institution without such approyal, yyrttten notice of any such assianment or trans(er <br />shall be furnished promptly to the City/County. <br />6. Reports and Information. The Firm, at such times and in such torms as the City/County may_. <br />require, shall furnish the City/County such periodic reporLs 2s it may request pertaining fo the <br />work or services undertaken pursuant to this ConVact, the costs and oblioations incurred or <br />to be incurred in connedion therewith, and any other matlers covered by this Contract_ <br />7. Records and Audits. The Firm shall maintain accounts and records, including personnel, <br />property and financial records, adequate to identify and account for atl costs pertaining to the <br />Contract and such other records as may be deemed necessary by the City/CounN to assure <br />proper accounting for all projed funds, both Federal and non-Federal shares. These records <br />will be made availabie tor audit purposes to the City/County or any authorized representative, <br />and will be retained for three years after the expiration of this Contrad unless permission to <br />destroy them is granted by tiie City/County. <br />8. Fndinos Confidential. All of the reports, information, data, etc., prepared or assembled by <br />the Frtn under this corttract are confidential and the Frm agrees that they shall not be made <br />available to any individual or organizafion without the prior written approval ot the City/County. <br />9. Coovrioht No report, maps, or other documents produced in whole or in part under this <br />Contrad shall be the subject of an apptication for copyright by or on behafi of the Firm. <br />10. Comoliance with Local l.aws, The Firm shail comply wRh all applicable laws, ordinances and <br />codes of the State andlocai governments, and the Rrm shali save the City/County harmless <br />with respect to any damages=arising from any tort done in performing any ot the work <br />embraced by this Contrac[. <br />71. ;Eaua( cmolovment OooortuniN. During the~petiomance of this Contract, the Firm agrees 2s ~ <br />folloN•s: <br />. 2. The Firm will not discriminate zgainst zny employee or appficant for-employment <br />because of race, creed, sex, co)or or nationai origin.
