Wilcox Miller & Nelson BASIS FOR PROFESSIONAL FEES Professional Fee Wilcox Miller & Nelson's professional services are offered on a retained basis for what is expected to be a three-month recruitment process. The professional fee for the recruitment of the City Manager is $17,500.00. One-third of this fee is due as a retainer upon execution of the agreement. The remainder of the fee will be divided and billed in two separate, monthly invoices. Full payment of the professional fee is due three months from execution of the agreement or when a candidate has accepted an offer of employment, whichever comes first. The proposed project and professional fee includes three meetings with the client; the first to develop the Candidate Profile, the second to recommend finalists, and the third to facilitate finalist interviews. Requested additional meetings will be negotiated and billed accordingly. Should the City choose to cancel or postpone the search at any time after execution of the agreement, the City will be responsible for payment in the amount of the percentage of the work complete as it applies to the three-month period. It is the sincere intent of Wilcox Miller & Nelson to conduct a recruitment process that leads to the selection of a qualified candidate. If the City chooses to continue outreach efforts past the three-month period, however, a continuation fee may be negotiated. In the event that the City employs any referred candidate in any capacity within 365 days of our referral, the City will be obligated for the full professional fee. EXDenses The City of Paris will be responsible for reimbursement of expenses not to exceed $7,500.00. Expenses will be pre-approved and will be billed back at cost. Expenses include out-of-pocket costs associated with consultant travel, advertising, printing and binding, postage and delivery, clerical, background checks, and long-distance telephone charges. PLACEMENT GUARANTEE Wilcox Miller & Nelson agrees to guarantee this placement for a period of one year from date of hire. In the event a candidate recruited and recommended by our firm leaves your employment or is dismissed for cause during this period, we agree to provide a one-time replacement at no additional charge, except expenses.
