PEDC Board Meeting Minutes <br />February 10, 2015 <br />Page 3 of 5 <br />James Wallace stated that it would along with a monthly report of who visited the site and what <br />information was researched <br />Steve Keywood arrived at 3:45 p.m. <br />John Brockman asked what the rate would be if services went over the 5 hours, as quoted? <br />James Wallace stated that it would be $30.00 an hour. Don Wilson asked if the website <br />maintenance could be done on a quarterly basis rather than monthly? James Wallace stated yes <br />you can at $500.00 a quarter that would save you more money. (See attached Scope of Work and <br />Contract.) Don Wilson made a motion to accept James Wallace's "Jazzy Frog" proposal for <br />$5,000 and to include quarterly updates /maintenance instead of monthly to the PEDC's website <br />with recommendations as presented; seconded by John Brockman. Motion Carried 4 -0. <br />James Wallace and John Wallace left at 3:54 p.m. <br />Discuss and possibly take action on quotes for Commercial General Liability Insurance for <br />the Northwest Industrial Park and Rail Spur. <br />Shannon Barrentine told those present that the PEDC contacted 5 local independent insurance <br />agencies. We asked them to provide insurance coverage for what had been covered in the past. <br />The PEDC received two quotes: Peeples Insurance, Texas Specialty Underwriter $1,758.30 and <br />Pierson & Fendley $7,212.57. Shannon Barrentine recommended looking over the quotes. Don <br />Wilson made a motion to table this item; seconded by John Brockman. Motion Carried 4 -0. <br />Discuss and possibly take action on proposed amendment(s) to the Paris EDC Bylaws <br />pertaining to authorization process of entering into a contract agreement <br />Stephen Grubbs told those present that the PEDC has received information from their lawyer A. <br />W. Clem and his wording. Stephen Grubbs was supposed to get the proposed amendment <br />wording to Shannon Barrentine but he did not. Don Wilson made a motion to table this item <br />until the next meeting; seconded by John Brockman. Motion Carried 4 -0. <br />Discuss and possibly take action on invoice(s) for legal services from Jeff Moore, Attorney, <br />Brown & Hofineister, LLP and/or A.W. Clem, Legal Counsel, The Moore Law Firm. <br />Shannon Barrentine stated that the PEDC only received an invoice from Attorney Jeff Moore. <br />The PEDC did not receive an invoice from The Moore Law Firm. Stephen Grubbs stated that <br />the invoice from Brown & Hofrneister was for $1,372.68. Shannon Barrentine stated that some <br />of the fees are from the Open Records Requests the PEDC received in October. John Brockman <br />made a motion to pay the invoice for Jeff Moore, Attorney of Brown & Hofineister LLP, <br />services in the amount of $1,372.68; seconded by Stephen Grubbs. Motion Carried 4 -0. <br />
