744 PROGRAM LICENSE AGREEMENT THIS PROGRAM LICENSE AGREEMENT (hereinafter called the "Agreement ") is made and entered into this 13th day of January, 1997, by and between A. L. ROARK AND ASSOCIATES, INC., a Kentucky corporation, whose principal office is located at 406 Rosemont Garden, Lexington, Kentucky 40503 (hereinafter called "ALR "), and the CITY OF PARIS, PARIS, TEXAS, a municipal corporation, whose principal office is located at 135 1 st Street S.E., Paris, Texas 75460 (hereinafter called "CLIENT "). WHEREAS, ALR is the owner of the License Program and Materials (hereinafter defined) known as the Community Management System and the software program functions listed below and more frilly set forth in detail in Exhibit A, attached hereto and made a part hereof, and sometimes hereinafter referred to as the "Program Description "; and, WHEREAS, CLIENT desires to obtain from ALR a non - exclusive license to use the Licensed Program and Materials only for use by CLIENT'S police department, which is located at 811 Bonham Street, Paris, Texas; NOW, THEREFORE, For and in consideration of the premises, the covenants contained herein, and other good and valuable consideration, the sufficiency and receipt of which is hereby acknowledged, the terms and conditions attached hereto and incorporated as a part hereof are accepted and agreed to. The Total Contract Price, as referenced in Paragraph 5 of the attachment hereto, shall be One hundred Five thousand Three hundred and Four dollars ($105,304.00). The number of days to complete the project, as referenced in Paragraph 6B of the attachment hereto, is one hundred eighty (180) days. The Warranty period, as referenced in Paragraph 7A of the attachment hereto, is twelve (12) months.
