<br />RESOLUTION--89-020
<br />WHEREAS, the City Council did heretofore in Ordinance No.
<br />84 -039, passed on the 11th day of June, 1984, grant a franchise
<br />to McCaw Midwest Communications, Inc.; and,
<br />WHEREAS, McCaw Midwest Communications, Inc., has been
<br />succeeded by McCaw South Central Communications, Inc.; and,
<br />WHEREAS, McCaw South Central Communications, Inc., has been
<br />succeeded by Cooke CableVision, Inc.; and,
<br />WHEREAS, pursuant to Section 16(b) of Ordinance No. 84 -039,
<br />Cooke CableVision, Inc., the present holder of the community
<br />antenna television franchise rights throughout the City of Paris,
<br />has applied for consent to the transfer its assets from Cooke
<br />CableVision, Inc., to Texas Community Antennas, Inc., a wholly
<br />owned subsidiary of TCA Cable TV, Inc., a Texas corporation; and,
<br />WHEREAS, said franchise is presently in full force and
<br />effect and Cooke CableVision, Inc. is in compliance with and not
<br />in default with the terms and conditions of said franchise.
<br />WHEREAS, it appears to the City of Paris that Texas
<br />Community Antennas, Inc., is qualified to own and operate the
<br />community antenna television franchise rights within the
<br />corporate limits of the City of Paris; NOW, THEREFORE,
<br />BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS,
<br />That Cooke CableVision, Inc., successor to McCaw South Central
<br />Communications, Inc., is hereby granted authority to transfer
<br />ownership of the community antenna television franchise rights
<br />granted in Ordinance No. 84 -039 to Texas Community Antennas, Inc.
<br />BE IT FURTHER RESOLVED, That Texas Community Antennas, Inc.,
<br />be, and it is hereby authorized to assign its interest, when
<br />received from Cooke CableVision, Inc., for security purposes only
<br />to such financial institutions as may be selected to finance the
<br />acquisition and operation of the community antenna television
<br />system.
<br />This Resolution shall become effective only upon completion
<br />of the sale of all of Cooke CableVision, Inc.'s assets to Texas
<br />Community Antennas, Inc., and if such sale is not consummated,
<br />this Resolution shall be of no force or effect.
<br />Passed and adopted this 13th day of March, 1989.
