ER/Consulting, Inc. <br />-- GENERAL CONDITIONS <br /> <br />-- ARTICLE I. CONTRACT DEFINITIONS <br /> Whenever the following terms are used in these General Conditions, or in the other <br /> Contract Documents, the intent and meaning shall be interpreted as follows: <br /> <br /> 1.1 CONTI~ACT DOCUMENTS: The Contract Documents consist of the Owner-Contractor <br /> Agreement, the Conditions of the Contract (General, Supplementary, and <br /> Special Conditions), the Drawings, the Specifications, and all Addenda <br /> issued prior to and all Modifications issued after execution of the <br /> <br />-- Contract. A Modification is (1) a written amendment to the Contract signed <br /> by both parties, (2) a change order, or (3) a written order for a minor <br />-- change in the work issued by the Engineer/Project Manager pursuant to <br /> paragraph 6.4. The contract documents do not include Bidding Documents such <br /> as the Advertisement or Invitation to Bid, the Instructions to Bidders, <br /> sample forms, the Contractor's bid, or portions of Addenda relating to any <br /> of these, or any other documents, unless specifically numerated in the <br /> Owner-Contractor Agreement or the Supplementary Conditions. <br /> 1.1.1 The Contract Documents form the CO~'£~ACT, which represents the entire <br />-- and integrated agreement between the Owner and the Contractor and <br /> supersedes all prior negotiations, representations, or agreements, <br />_ either written or oral. The Contract Documents are complementary, <br /> and what is required by one document shall be as binding as if <br /> required by all. <br /> <br /> 1.2 OWNER: The Owner is the entity named in the Contract Documents acting <br /> through its Authorized Agent. <br />-- 1.3 ENGINEER/PROJECT MANAGER: A person registered as an architect pursuant to <br /> Article 249a, V.T.C.S., as a landscape architect pursuant to Article 249c, <br /> <br />-- V.T.C.S., and/or a person licensed as a professional engineer pursuant to <br /> Article 3271a, V.T.C.S., employed to provide professional architectural or <br /> engineering services, and having overall responsibility for the design of <br /> a project or a significant portion thereof. The term "Engineer/Project <br /> Manager" means an Engineer/Project Manager, or a firm consisting of such <br /> persons, in private practice retained for a specific project under a <br /> contractual agreement with the Owner. <br />-- 1.4 CONTRACTOR: The individual, corporation, company, partnership, firm, or <br /> other organization that has contracted to perform the work under the <br />-- Contract with the Owner. <br /> <br />--- 4/11/03 i <br /> <br /> <br />
