The motion carried unanimously.

President Wall called for the Director's Report.

Gary Vest reported that they have talked about the Greenball Corporation and
they are back on tract and they are looking at the Oliver Building and they are
negotiating with Cooper on that building. He said that at their last meeting they
talked about the price for a roof on that building of $60,000.00 and the PEDC
told them what they would do is give them an incentive of $60,000.00 if they
would buy that building and locate their business here. Mr. Vest said that Mr.
Tye is negotiating directly with Cooper on the building.

Mr. Vest said they did receive a prospect for TXU from their Economic
Development Department. It is a metal fabrication company and needs a 10 to
15 acre site. He thought it was about a 50 employee operation and approximately
10 million dollar plant and they are trying for a shot at that.

Mr. Vest reported that he has had a lot of discussion with Sara Lee and they
have shut down all but thee lines at the Fort Plain, Alabama plant and a lot of
that work is coming to Paris. Mr. Vest stated that was good news for Paris.

President Wall announced that the next item on the agenda was a resolution for
consideration of and action on supporting a fish hatchery:~at Cooper Lake.

Mr. Vest advised that he went to the pre-bidders conference regarding this fish
hatchery.
